These Terms of Use ("Terms") are an agreement between you and Half Ordinary Software, LLC ("Half Ordinary," "we," "us") and govern your use of halfordinary.com and our apps, Dispo and Lodyn (together, the "Services"). By using the Services, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Services.
1. Eligibility
- You must be at least 18 years old to use Lodyn.
- Dispo is for use by organizations and their authorized staff. If you use Dispo on behalf of an organization, you confirm you are authorized to do so.
- You must be able to form a binding contract and not be barred from using the Services under applicable law.
2. Your account
You are responsible for the information you provide, for keeping your login secure and for activity on your account. Tell us right away at support@halfordinary.com if you believe your account has been compromised. You may delete your account at any time.
3. Acceptable use
You agree not to:
- Harass, threaten, stalk, intimidate or harm anyone, online or in person
- Post content that is unlawful, hateful, sexually explicit, or that infringes someone else's rights
- Impersonate anyone or misrepresent who you are
- Use the Services to spam, solicit or advertise
- Misuse location features, including attempting to track or locate someone who has not chosen to share their presence
- Enter patient information or other protected health information into Dispo
- Scrape, reverse engineer, interfere with or try to gain unauthorized access to the Services
- Use the Services in violation of any law or your employer's policies
4. Your content
You own the content you create. You give us a limited, worldwide, non-exclusive, royalty-free license to host, store, display and transmit it only as needed to operate and improve the Services. You are responsible for your content and confirm you have the right to share it.
We may remove content or suspend accounts that violate these Terms. You can report content or users in the app or by emailing support@halfordinary.com.
5. Meeting people in person (Lodyn)
Lodyn helps people who are already at the same place notice each other. We do not conduct background checks on users and are not responsible for the conduct of any user, online or offline. Use good judgment: meet in public places, tell a friend where you are and leave if you feel unsafe. If someone is in immediate danger, call 911.
6. Dispo for organizations
If your organization provides Dispo, a separate agreement between that organization and Half Ordinary may also apply and will control if it conflicts with these Terms. Dispo is a workload and recognition tool. It is not a medical device, does not provide clinical advice and is not intended to store patient information or replace your organization's staffing, HR or clinical systems.
7. Apple App Store terms
If you download an app from the Apple App Store, you also agree to Apple's Licensed Application End User License Agreement. These Terms are between you and Half Ordinary, not Apple. Apple is not responsible for the apps or their content, has no obligation to provide maintenance or support, and is not responsible for any claims relating to the apps, including product liability, legal or regulatory compliance, or intellectual property claims. In the event of any failure of an app to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You confirm you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government list of prohibited or restricted parties.
8. Our intellectual property
The Services, including their software, design, logos and names (including Half Ordinary, Dispo and Lodyn), are owned by Half Ordinary or its licensors and protected by law. We grant you a limited, revocable, non-transferable license to use the apps for their intended purpose under these Terms.
9. Suspension and termination
You may stop using the Services at any time. We may suspend or end your access if you violate these Terms, if required by law, or to protect users or the Services. Sections that by their nature should survive termination will survive.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT LOCATION OR PRESENCE INFORMATION WILL ALWAYS BE ACCURATE.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, HALF ORDINARY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS OR GOODWILL, OR FOR THE CONDUCT OF ANY USER, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM.
12. Indemnification
You agree to indemnify and hold Half Ordinary harmless from claims, losses and expenses (including reasonable attorneys' fees) arising from your content, your use of the Services or your violation of these Terms.
13. Governing law and disputes
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute will be resolved exclusively in the state or federal courts located in Lubbock County, Texas, and you consent to their jurisdiction. Before filing a claim, you agree to contact us at support@halfordinary.com and try to resolve it informally for at least 30 days.
14. Changes to these Terms
We may update these Terms. We will change the effective date above and, for material changes, notify you in the app or by email. Continuing to use the Services after changes take effect means you accept them.
